    Terms of Service & Client Agreement

    1. Acceptance of Terms

    By accessing or using the AireStream website or services, you agree to these Terms of Service. If you do not agree, you must not use our services.

    2. Services Provided

    AireStream provides the following services:

    Free AI Discoverability Snapshot – automated analysis of a website's AI search visibility

    Free Growth Assessment – a consultative review of your current AI visibility and growth opportunities, provided without charge or obligation

    AI Visibility Benchmark – a one-off measurement service testing 100 buyer questions across five AI platforms. It does not include a review of your website, recommendations, or an implementation plan. The fee is creditable against an AI Strategy Programme or AI Advantage Programme commissioned within 60 days of delivery

    AI Strategy Audit – a full-depth one-off analysis covering all 73 components across five audit categories: AI visibility, entity and schema, technical foundations, content and structure, and citations and authority, delivering findings and prioritised recommendations

    AI Advantage Audit – our most comprehensive one-off analysis: everything in the AI Strategy Audit plus full competitive intelligence, including the same full-depth audit run on up to three competitors and a competitive displacement plan

    AI Strategy Programme and AI Advantage Programme – a three-month engagement built on the corresponding audit. Month one delivers the audit report, prioritised recommendations, a walkthrough call, and access to the AireStream client portal containing an Implementation Checklist. Month two provides a named contact and email support on checklist items, answered within one business day, plus a mid-point check-in call. Month three delivers a full re-test of all 73 components and an ACTIVE GEO Report against your baseline. Support in month two is limited to items on the Implementation Checklist; work outside that scope is quoted separately

    Implementation Services – done-for-you implementation of audit recommendations, available as a separate project engagement, scoped and quoted from your audit findings

    AI Growth Partnership – a monthly service available after completion of an audit or programme, covering a monthly Visibility Benchmark and advisory call, a quarterly ACTIVE GEO Report re-scoring all 73 components, and alerts on significant position changes and major AI model updates

    Programme terms. Programmes are a fixed three-month engagement billed monthly in advance. The first payment falls due on commencement and the remaining two on the same day of each following month. The full three-month fee is payable in all cases: the deliverables are front-loaded, with the audit, the prioritised recommendations and the Implementation Checklist all delivered in month one.

    Cancellation. You may cancel before month one deliverables are issued and pay only for work completed to that point. After the month one walkthrough call, the remaining instalments are payable in full.

    Client dependencies. Month two support and the month three re-test are scheduled from the month one delivery date and are not extended where implementation work on your side is delayed. The ACTIVE GEO Report reflects the state of your systems at the point of re-testing, whatever has or has not been implemented by then.

    All services are advisory and system-based. We do not guarantee rankings, traffic, leads, revenue, or specific outcomes.

    Some services, including the AI Discoverability Snapshot, are delivered using AI tools (including models and APIs provided by Anthropic, OpenAI, Google, Perplexity and Microsoft Azure OpenAI). By using these services, you acknowledge that your submitted data may be processed by third-party AI providers in accordance with our Privacy Policy.

    3. No Professional Advice

    Our services do not constitute legal, financial, or investment advice. You remain responsible for business decisions made using our insights.

    4. Free Assessments

    Free Growth Assessments are provided without obligation.

    AireStream reserves the right to refuse or discontinue free assessments at any time.

    5. Paid Services, Fees & Payment Terms

    All fees, setup costs, and subscription terms are agreed in writing before work begins

    Prices are exclusive of VAT unless stated otherwise

    Setup fees are non-refundable once work has commenced

    Invoices are payable within 14 days of issue unless otherwise agreed

    Late payments may incur interest at 8% above the Bank of England base rate (pursuant to the Late Payment of Commercial Debts (Interest) Act 1998)

    We reserve the right to suspend services for non-payment

    Refunds are not provided except where required by law

    6. Performance & Results

    AireStream provides professional services based on industry best practices and works diligently to deliver value. However, we do not guarantee:

    AI search recommendations or visibility

    Search engine rankings or traffic

    Lead volume or quality

    Conversion rates

    Revenue outcomes or ROI

    Results depend on numerous factors outside our control, including:

    Third-party platform algorithms and policies

    Market conditions and competitor activity

    Client implementation and follow-through

    Quality of client's existing systems and data

    Changes to AI and search technologies

    7. Client Responsibilities

    Clients agree to:

    Provide accurate information

    Grant access to necessary systems (where applicable)

    Respond in a timely manner to requests

    Delays caused by the client may impact delivery timelines.

    8. Intellectual Property

    All methodologies, frameworks, analyses, and materials provided by AireStream remain our intellectual property unless otherwise agreed in writing.

    Clients may not resell, redistribute, or reuse materials commercially without permission.

    9. Confidentiality

    Each party agrees to keep the other party's confidential information strictly private and not to disclose it to any third party without prior written consent.

    Confidential information means any non-public information disclosed by one party to the other in connection with these Terms, including but not limited to: business strategies, client data, methodologies, pricing, technical systems, and any information marked as confidential or that a reasonable person would understand to be confidential.

    Confidential information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was already known to the receiving party at the time of disclosure; (c) is independently developed without use of the confidential information; or (d) must be disclosed by law, regulation, or court order.

    Confidentiality obligations under this section survive the termination or expiry of these Terms for a period of two years.

    9a. Data Processing

    Where AireStream accesses or processes personal data on behalf of a client (including access to any client system containing personal data, such as analytics platforms, CRM systems, or marketing tools, regardless of service tier), we act as a data processor under UK GDPR. In such cases, a separate Data Processing Agreement (DPA) will be provided and must be signed before that processing activity begins.

    The DPA sets out the subject matter, duration, nature, and purpose of the processing, the type of personal data involved, and the obligations of each party. These Terms are subject to any DPA in force between the parties.

    9b. Subcontractors and Third-Party Tools

    AireStream may use subcontractors and third-party platforms to deliver its services, including but not limited to: AI language models and APIs (provided by Anthropic, OpenAI, Google, Perplexity and Microsoft Azure OpenAI), search and data-enrichment APIs (e.g. Serper/SerpApi, additional Google APIs, Trustpilot), cloud infrastructure (Hetzner) and error monitoring (Sentry).

    We remain responsible for the work performed by any subcontractor engaged by us. Third-party platforms used in delivery are subject to their own terms of service. We will notify clients of any material changes to our subcontractor arrangements that could affect service delivery.

    10. Limitation of Liability

    To the maximum extent permitted by law:

    AireStream is not liable for:

    Loss of profits, revenue, business opportunity, or anticipated savings

    Loss of data (where the client is responsible for backups)

    Indirect, consequential, special, or punitive damages

    Claims arising more than 6 months after the issue first occurred

    Our total aggregate liability for all claims arising from or related to our services is limited to the total fees paid by the client for the relevant engagement. Where services are provided under a separate signed agreement, the liability provisions of that agreement apply to that engagement.

    Nothing in these Terms excludes or limits liability for:

    Death or personal injury caused by negligence

    Fraud or fraudulent misrepresentation

    Any other liability that cannot be excluded or limited under UK law

    11. Cancellation & Refunds

    Free Growth Assessments may be cancelled at any time without penalty

    Paid Audits: once the audit fee has been paid and work has commenced, cancellation before delivery is charged on a pro-rata basis for work completed to date, in line with your signed services agreement. To cancel, contact admin@airestream.ai

    Monthly retainers: Either party may cancel with 30 days written notice

    Setup fees are non-refundable once work has commenced

    Monthly retainer fees are non-refundable, including for unused services

    All work completed prior to cancellation remains payable in full

    Upon cancellation, AireStream will deliver any completed work, and the client will pay for all services rendered up to the cancellation date

    12. Termination

    Either party may terminate services in accordance with the agreed contract terms.

    Outstanding fees remain payable upon termination.

    13. Force Majeure

    Neither party shall be liable for any failure or delay in performance caused by events beyond reasonable control, including but not limited to:

    Natural disasters, pandemics, or acts of God

    Government actions, laws, or regulations

    Strikes or labour disputes

    Third-party platform changes or outages

    Internet or telecommunications failures

    The affected party must notify the other party promptly and make reasonable efforts to resume performance.

    14. Governing Law

    These Terms are governed by the laws of England and Wales.

    15. Dispute Resolution

    In the event of any dispute arising from these Terms or our services, both parties agree to:

    First attempt resolution through good-faith negotiation

    If unresolved within 30 days, disputes may be referred to mediation before pursuing legal action

    Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales
